Office Depot® Star Teacher ("Program") Terms and Conditions
Contract Accounts are not eligible to receive Rewards electronically.

| Membership |

A Program member ("Member") is eligible to receive reward credit ("Rewards") on Qualifying Purchases (defined below) made at Office Depot stores, by phone at 1.800.463.3768 and in Puerto Rico at 1.800.573.4624 or online at www.officedepot.com. No annual fee for membership.

There is a limit of one (1) Star Teacher account per household/business. To receive Rewards, you must register with a valid email address. Only one (1) email address per valid account will be accepted. Valid registrations must contain all information requested.

Reward Certificates are issued online at www.mystarteacher.com when you earn at least $10. To receive Rewards:

New Members must visit www.mystarteacher.com and complete your registration by providing the required information.

Members who registered their account prior to January 2011 must visit www.mystarteacher.com and update their member profile with the required information.

A Member receives an immediate 15% discount on copy, print and other products/services in-store at Copy & Print Depot™ ("CPD") excluding tax and postage stamps.

Member card must be presented at checkout to receive the instant discount. Instant discount is not valid for purchases made online at www.officedepot.com or at 1.800.463.3768 or 1.800.573.4624 in Puerto Rico.

Member card is not transferable or assignable and is not for resale or auction.

| Qualifying Purchases |

"Qualifying Purchases" are purchases, excluding tax and discounts, made within a calendar quarter as follows:

10% on ink and toner and case, ream and photo paper (excludes merchandise returns, thermal fax paper, paper rolls used in adding machines and cash registers).

Purchases (or portions of purchases) made with Office Depot Rewards or Merchandise Cards/Certificates do not qualify for Rewards.

The price of an item eligible for Rewards is the price paid at checkout after the deduction of coupons, other discounts, the value of free items and the value of any Office Depot Rewards and Merchandise Cards/Certificates applied to that purchase.

Sales to resellers do not qualify for Rewards.

Rewards are issued as an Office Depot® Rewards Certificate when a minimum of $10 is earned. Rewards are issued online to Members as outlined above within 30 days after the end of the Rewards Period. Customers who have not updated their member profile by the end of the Rewards quarter will continue to receive their Rewards within 60 days via the Postal Mail, but we encourage you to update your member profile to get your Rewards faster!

Rewards will expire at the end of any quarter in which you have earned less than $10 ("Unpaid Rewards").

There is no maximum amount of Rewards that can be earned in a quarter.

Rewards are issued as an Office Depot Rewards Certificate. Office Depot reserves the right to issue Rewards in any form, including coupons or checks. Rewards Certificates are valid for 90 days after the date of issuance. No extensions or exchanges will be allowed for expired Rewards Certificates.

Rewards Certificates may be redeemed on purchases of merchandise only, which excludes any type of prepaid gift, merchandise, debit, phone, service or other stored value card or device.

Rewards Certificates do not constitute property, do not entitle a Member to a vested right or interest and have no cash value. Rewards Certificates are not redeemable for cash, transferable or assignable for any reason. The sale of Rewards Certificates is strictly prohibited. Rewards Certificates shipped and returned as undeliverable will be forfeited. The issuance of Rewards Certificates is final except in the event that a certificate has been issued in error. Lost or stolen Rewards Certificates will not be reissued.

Members are responsible for taxes, charges or other liabilities related to or resulting from their participation in the Program.

| Eligibility and Changes to Terms and Conditions |

Membership is open to legal residents of the 50 U.S. states, District of Columbia or Puerto Rico who are at least 18 years of age. Membership is open to Office Depot® customers who are teachers currently employed at the primary and secondary grade levels (pre-K and K through 12), except employees of Office Depot, Inc., Office Depot Business Account Customers, State, Municipal and Federal Government accounts and resellers are not eligible to participate in the Program.

By participating in the Program, you consent to these terms and conditions ("Terms") of this Program. Any changes to the Terms will be effective immediately upon posting at www.mystarteacher.com.

| Account Restrictions |

Office Depot may terminate your account and/or not issue/cancel Rewards if you violate these Terms.

Office Depot reserves the right, in its sole discretion to modify, limit or terminate the Program and/or Reward Redemption values, or any portion thereof, at any time, with or without prior written notice.

We reserve the right to cancel or limit any purchase or offer redemption made 1) contrary to the terms of each offer, discount, promotion or coupon; 2) that otherwise is not in compliance with the Terms and Conditions of the Program or our Terms of Use; 3) that violates any applicable state and federal law; or 4) that we believe is fraudulent or made through improper channels.

Your Member information will not be sold or rented to any company outside of Office Depot and its affiliated companies. In order to facilitate your account, we may share your information with our trusted vendors, who have agreed to keep your information confidential. Your information will be used for the purpose of account maintenance, improving not only your customer experience but also the range and types of products and services offered by us to you, as well as to notify you of special offers, promotions, and/or catalogs which may be of interest to you. Of course we will comply with all laws regarding information access by federal and state authorities and may use such information to protect the integrity of the Program or the safety of the Members. If you do not wish to have your Member information utilized in this manner, you may cancel your participation in the Program at any time by contacting: The Office Depot® Star Teacher Program, P.O. Office Depot assumes no responsibility for errors caused by incorrect Member information.

While we make every effort to provide accurate information, inaccuracies or errors may occur. We are not responsible for such errors. We reserve the right to make changes, corrections, and/or improvements to the information contained on this Site and to the products and programs described in such information, at any time without notice.

The interpretation and application of the Terms are in the sole discretion and determination of Office Depot, which in each case shall be final and conclusive.

The laws of the State of Florida, without regard to its conflict of laws rules, will govern the Terms, as well as your and our observance of them. If you take any legal action relating to your use of the Program or the Terms, you agree to file such action only in the state and federal courts located in Palm Beach County, Florida.

If Office Depot fails to act with respect to your breach or anyone else's breach on any occasion, Office Depot is not waiving its right to act with respect to future or similar breaches.

The Terms, together with those items made a part of these terms by reference, make up the entire agreement between us relating to the Program, and replaces any prior understandings or agreements (whether oral or written) regarding the Program. If a court finds any of the Terms to be unenforceable or invalid, that Term will be enforced to the fullest extent permitted by applicable law and the other Terms will remain valid and enforceable. The Program is void where prohibited by law.

Office Depot® Ink and Toner Recycling Program
|

Worklife Rewards® and Star Teacher Members get $2 back in Recycling Rewards for each cartridge recycled in-store, up to 10 per month, when you make qualifying Office Depot® purchases. Recycling Rewards will not exceed the amount of your total qualifying Office Depot® purchases made within a Reward period. Qualifying purchases exclude taxes; delivery fees; postage stamps; and prepaid gift, debit, phone or services cards; and purchases made with Office Depot Rewards and Merchandise Cards/Certificates.
Examples:
Recycle 5 cartridges (Potential Recycling Rewards = $10). You'll only get
- $10 in Recycling Rewards if you spend $10 on qualifying purchases in the same Reward Period in which the cartridges are recycled
- $5 in Recycling Rewards if you spend $5 on qualifying purchases in the same Reward Period in which the cartridges are recycled
- $0 in Recycling Rewards if you do not make any qualifying purchases in the same Reward Period in which the cartridges are recycled
We can recycle additional cartridges but Recycling Rewards will only be issued on the monthly limit. We reserve the right to decline acceptance of visibly damaged cartridges for recycling. Allow up to 6 weeks for your Recycling Rewards to post to your account after qualifying purchases are made. Recycling Rewards will be issued as part of your Worklife Rewards® or Star Teacher Rewards. Please see the Worklife Rewards® or Star Teacher Program Terms and Conditions for more information about the issuance and redemption of Rewards.
